I have consented to act as a Director for Ottawa Therapy Dogs (OTD) and I agree to comply with the following Directors’ Code of Ethics throughout my term as a Director:
Honesty and Good Faith: I will act honestly and in good faith. I will do nothing to violate the trust of the members I serve.
Care, Diligence and Skill: I will exercise the degree of care and skill of a reasonably prudent person in comparable circumstances. I will make an effort to attend all Board and members meetings. I will act responsibly and with due diligence to become familiar, on a continual basis, with the affairs of Ottawa therapy Dogs, to uphold its Bylaws and the spirit of its letters patent.
Conflict of Interest: I am not currently aware of any actual or potential conflict of interest or event that would place me in a position where I can not fulfil my duties at arms length. If I become aware of any such conflict, I will immediately disclose it to the Board. I will not promote my own interests or those of any other member, family member, friend or contractor to the detriment of OTD. I will not seek any special benefit or privileges as a Director or accept any compensation personally or on behalf of any other person except as permitted by By-Law. I will act only in the best interests of OTD.
Confidentiality: I will not disclose to any person (including my spouse) information decided by the Board to be confidential or privileged or which reasonably ought to be deemed confidential. If I am in doubt, I will request the determination of the Board.
Good Conduct: At all times, I will conduct myself in a professional and businesslike manner at meetings of Directors or Members. I will approach board issues with an open mind, preparing to make the best decisions on behalf of OTD. I will act ethically and with integrity in accordance with legal criteria.. I will comply with the rules of good conduct and deal with others in a respectful manner. I will comply with the principals of good governance and procedural rules of order.
Support: I will abide by the decisions of the majority of the Directors even though I may disagree. I reserve the right to express my own views on non-confidential issues.
Defamation: I will not make erroneous or defamatory statements about OTD, fellow Board members or other Members of OTD.
Minimize Conflict: I will attempt to minimize conflict and promote good relations amongst members of OTD.
